General Terms and Conditions

1. Scope and Applicability

These General Terms and Conditions apply to all contracts concluded between Spare Energy KLG, Gernstrasse 33b, CH-8409 Winterthur, Switzerland ("Seller") and consumers ("Customer") for the purchase and use of the Pax-Time Plug ("Product") via https://www.pax-time.com.

2. Product Description and Technical Intended Use

The Pax-Time Plug is a time-controlled smart power plug intended to enable scheduling or limitation of electrical power supplied to connected devices, within the technical specifications stated in the accompanying documentation.

The Product is intended for indoor use only and must be operated in compliance with applicable electrical safety standards and regulations.

3. Contract Formation

Product presentations on the website constitute a non-binding invitation to purchase. A binding contract is concluded when the Seller confirms shipment or dispatches the Product.

4. Prices and Payment (Stripe)

All prices are stated in EUR or CHF as indicated and include statutory VAT where applicable. Payments are processed via Stripe Payments Europe Ltd. or its affiliates.

By completing a purchase, the Customer authorises Stripe to process the payment and agrees to Stripe's applicable terms and conditions. The Seller does not store or process credit card or other payment instrument data.

In the event of payment failure, chargeback, or payment reversal initiated via Stripe, the Seller reserves the right to suspend delivery, deny further orders, or claim outstanding amounts where legally permissible.

5. Delivery and Shipping

Delivery times stated are non-binding estimates unless expressly agreed otherwise. The Seller shall comply with statutory delivery obligations under EU consumer law.

In accordance with EU consumer protection law, the risk of accidental loss or deterioration of the Product transfers to the Customer only upon physical receipt of the Product by the Customer or a person designated by the Customer.

6. Right of Withdrawal

Consumers have a statutory right of withdrawal within fourteen (14) days from receipt of the Product. To exercise this right, the Customer must notify the Seller via the contact page.

7. Software and Firmware

The Product includes embedded software and firmware. The Seller grants the Customer a non-exclusive, non-transferable, non-sublicensable right to use the software solely in connection with the Product.

The Seller may provide software or firmware updates that modify functionality, security, or user interface. There is no entitlement to perpetual updates.

8. Warranty

Statutory warranty rights apply. Warranty claims are limited to repair, replacement, or refund at the Seller's discretion.

The warranty does not cover defects resulting from improper use, unauthorised modification, third-party firmware, or operation outside the specified technical limits.

9. Limitation of Liability

The Seller shall be liable without limitation for intent and gross negligence. For slight negligence, liability is limited to foreseeable damages typical for this type of contract.

Liability for indirect or consequential damages, including loss of data or purely economic loss, is excluded to the extent permitted by law.

10. Parental Responsibility and Supervision Disclaimer

The Pax-Time Plug is not a safety device, child-protection system, or educational product. It does not replace parental supervision, household rules, or individual responsibility.

The Seller makes no representations or guarantees regarding behavioural outcomes, family dynamics, or reduced screen usage. Responsibility for use of the Product with minors lies solely with the parent or legal guardian.

11. Data Protection

12. Governing Law and Jurisdiction

These T&C are governed by Swiss law. Mandatory consumer protection provisions of the Customer's country of residence within the European Union remain unaffected.

13. Severability

If any provision of these T&C is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
